Agreement to Terms

Payment Terms

Payment terms will be stated in the applicable proposal, invoice, statement of work, or service agreement. Unless otherwise agreed in writing, invoices are due upon receipt.

For projects involving multiple phases, OFFSPRING ASSETS INC may require milestone-based payments or other payment arrangements stated in the applicable agreement.

Late Payments

Amounts not paid when due may be subject to reasonable late fees, collection costs, or other remedies permitted by applicable law and stated in the applicable agreement.

OFFSPRING ASSETS INC may suspend or discontinue services for accounts with overdue balances.

Refunds and Cancellations

Refund and cancellation terms will be determined by the applicable service agreement or written engagement terms. Unless otherwise expressly stated in writing, fees for consulting work already performed are non-refundable.

A client requesting cancellation should provide written notice as soon as reasonably possible. Cancellation of an engagement does not eliminate payment obligations for services already performed, approved expenses, or other amounts properly due.

Changes to Services

The scope of an engagement may be changed when agreed to in writing by the parties. Additional services or work outside the original scope may result in additional fees.

No Guarantee of Results

Consulting services are provided to assist clients with planning, decision-making, and operations. OFFSPRING ASSETS INC does not guarantee any particular financial, operational, business, expansion, or other result from the use of its services.

Third-Party Services

OFFSPRING ASSETS INC may provide recommendations concerning third-party vendors, service providers, equipment, technology, or other resources.

Unless expressly agreed otherwise in writing, third-party providers are independent businesses, and OFFSPRING ASSETS INC is not responsible for their products, services, performance, warranties, acts, or omissions.

Intellectual Property

Unless otherwise agreed in writing, materials, content, methodologies, templates, processes, and other materials developed or provided by OFFSPRING ASSETS INC remain the property of OFFSPRING ASSETS INC to the extent permitted by law.

Clients receive only the rights expressly granted to them in the applicable service agreement.

Confidentiality

Each party may receive confidential information belonging to the other party during an engagement. The parties agree to use reasonable care to protect confidential information and to use it only for purposes related to the applicable engagement, subject to applicable law and any separate confidentiality agreement.

Limitation of Liability
